Terms of Service

Version 1.2 · Effective 20 September 2026

These Terms of Service ("Terms") govern your use of EiS — Evolution in Sight™ ("EiS", the "Service"), a software-as-a-service product delivered as an add-in for Microsoft Excel. By creating an account, subscribing to a paid plan, or using the Service, you (the "Customer") agree to these Terms. If you use the Service on behalf of a company, you represent that you are authorised to bind that company, and "you" and the "Customer" refer to it.

1. Who we are

The Service is provided by Innoveel Software Estatistico LTDA, São Paulo, Brazil ("Innoveel", "we"). Contact: support [at] innoveel.com.

2. The Service

EiS is a symbolic artificial-intelligence tool. It analyses time-series data you select in Microsoft Excel on our servers to reveal trends, outliers, explanations and forecasts, returned directly to your Excel taskpane. The Service is offered in a Free plan and paid subscription plans with different monthly usage limits and capabilities, as described in the add-in.

3. Your account

4. Fees, billing and renewal

5. Cancellation and refunds

6. Your data

You retain all rights to the data you submit for analysis, and the results generated from that data are yours to use; this does not transfer any rights in the Service itself. You grant us a licence to process that data solely to provide the analysis you request and to operate, secure and support the Service. We do not sell your data and we do not use the content you submit for advertising. Our handling of personal data is described in the Privacy Policy, which is part of these Terms.

7. Licence and acceptable use

We grant you a non-exclusive, non-transferable right, revocable in accordance with the section headed "Suspension and termination", to access and use the Service for your business or personal purposes — including preparing analyses and deliverables for your own clients — while your account is active. You must not:

8. Availability and changes to the Service

We aim to keep the Service available at all times but do not guarantee uninterrupted operation. We may improve or modify the Service; if a change materially reduces the functionality of your paid plan, we will notify you at least 30 days in advance by email to your account address.

The Free plan is provided free of charge and may be changed or discontinued at any time without prior notice: its usage limits may be lowered, its complexity tolerance reduced, and functionality withdrawn.

9. Intellectual property

The Service, including its software, algorithms, design and the Evolution in Sight™ mark, is and remains the property of Innoveel. The Service embodies inventions protected by one or more patents, including U.S. Patent No. 12,664,216. Feedback or suggestions may be used by Innoveel without obligation. Microsoft and Excel are trademarks of the Microsoft group of companies; EiS is an independent product, not affiliated with or endorsed by Microsoft.

10. Computational complexity and guardrails

All analysis is performed on our servers: the add-in submits the data you select and displays the results — no significant computation takes place on your computer. Analysis of this depth is computationally demanding, and there is no a priori guarantee that every dataset is tractable. The Service therefore enforces server-side guardrails that bound every computation: a request whose complexity would exceed those bounds is stopped and reported as a clear failure, rather than left running indefinitely. When that happens, the add-in says so and suggests splitting the dataset into fewer variables (attributes) and/or objects. Paid plans run with a higher complexity tolerance (looser guardrails) than the Free plan.

11. Nature of the results

EiS computes aggregated values across many combinations of your dataset's attributes and sieves them numerically, presenting only the most material and hierarchically sound divergences. These results are computed from, and are faithful to, the dataset as submitted; a dataset, however, constitutes a finite empirical representation of the phenomena it purports to describe, and the degree of correspondence between that representation and the underlying phenomena lies outside the Service's scope of verification. The presentation of a divergence is therefore no warranty that the submitted data models the underlying phenomena correctly or free of numerical biases: sampling, measurement, encoding and scale effects present in the input propagate to the output, and EiS cannot detect or correct them.

EiS is an instrument of discovery and explanation, not of decision: it directs your attention to where the numbers diverge and helps you articulate why that may be — the investigation and the decision remain yours. Before relying on any result, you must cross-check it by independent means: against the source data — for instance, but not limited to, the spreadsheet presentation that originated the analysis — through other analytical methods, and with your knowledge of where the data came from and what it measures. Decisions taken on the basis of the Service's output are yours alone, and Innoveel is not accountable for them or their outcomes — whether the cause lies in the input data, in numerical effects, or in the interpretation of the results. No output of the Service — a divergence, an explanation, a forecast, or any other result — constitutes financial, investment, legal, medical, business-strategic or other professional advice, and we do not warrant that any output is fit for any particular decision.

The Explain and Forecast features generate narrative explanations and forward projections with the assistance of a third-party large language model (currently Google's Gemini; on plans that support it, an LLM backend you configure). Content generated this way is probabilistic by nature: it may contain statements that are plausible yet inaccurate or incomplete, and a forecast is a projection computed from past data, not a representation about future performance. Everything in this section — the cross-checking duty and the exclusion of accountability for decisions — applies to these features with equal or greater force.

12. Warranty disclaimer

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Mandatory consumer rights under applicable law are not affected.

13. Limitation of liability

To the maximum extent permitted by law, Innoveel will not be liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue or data, and our total liability arising out of or relating to the Service is limited to the greater of US$50 and the amounts paid to Innoveel by the Customer in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including mandatory consumer protections.

14. Indemnification

To the extent permitted by applicable law, you will indemnify and hold Innoveel harmless from third-party claims, and from damages and reasonable costs (including legal fees) arising out of such claims, to the extent caused by: (a) data you submitted without sufficient rights; or (b) your use of the Service in breach of these Terms or of applicable law. This obligation does not apply to consumers where applicable consumer law disallows it.

15. Suspension and termination

Innoveel may suspend or terminate access to the Service in the event of a material breach of these Terms, where required by law, or to protect the Service and its users; where practicable, prior notice will be given.

Ending a paid plan and closing the account are distinct. The former is self-service in the add-in (see "Cancellation and refunds"); the account then continues on the Free plan (or its then-current equivalent, if any) and is not deleted. Closure and deletion of the account itself may be requested by email to support [at] innoveel.com. Upon any closure or termination, data is retained or deleted as described in the Privacy Policy; records that Innoveel is required by law to keep (for example fiscal documents) are retained for their statutory periods.

16. Changes to these Terms

Innoveel may update these Terms from time to time. For material changes, notice will be given (for example by email or in the add-in) before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. Assignment

We may assign these Terms, in whole or in part, in connection with a merger, corporate reorganisation, or a sale or transfer of all or substantially all of the business or assets to which they relate, and will notify you of any such assignment.

An account is personal to the Customer — its identity, billing history, fiscal documents and consent records are all tied to that person or company. For that reason, an account or subscription cannot be sold or transferred to someone else by simply handing it over. If a transfer is ever genuinely needed — for example, moving an account to a new legal entity after incorporating or restructuring — email support [at] innoveel.com and we will arrange it once we have confirmed the request with the account holder.

18. Governing law and venue

These Terms are governed by the laws of Brazil. Disputes will be submitted to the courts of the State of São Paulo, Brazil. Mandatory rules of law that cannot be derogated from by agreement remain unaffected. These Terms are drawn up in English; translations, where provided, are for convenience only and the English version prevails to the extent permitted by law.
